Public vs. Private Open Screenplays

Private Open Screenplays

Private Open Screenplays allow more control for the Starter including the ability to customize Contribution Rules, timelines of phases, and decide who participates. Private Open Screenplays can only be contributed to by the users who are invited or accepted by the Starter.

The Starter can choose whether or not the Private Open Screenplay will appear in the platform’s search results. Management features allow the Starter to decide which information will be available for potential Buyers to view when the Screenplay Market is ready.

Features of a Private Open Screenplay:

❖  The Starter invites or accepts users to collaborate

You can invite Users at any time with no limit, but you must invite at least two Users to start a Private Open Screenplay.

Other Users will be able to request an invitation to collaborate but only the Starter of the Private Open Screenplay can accept and allow them to join.

❖  The Starter decides if the screenplay appears in the platform’s public search results

If you allow your Private Open Screenplay to be discovered in the platform’s public search results, Users will be able to see the title, genre, logline, number of Contributors and Followers, number of Contributions, and the date it was started.

Buyers will also be able to request the ability to read an Open Screenplay for the purpose of submitting a bid as part of our upcoming Screenplay Market.

❖  Can be made public later

You can always choose to make your Private Open Screenplay public at a later time. Once the choice is made, the project will open to the public and will automatically adopt the Public Contribution Rules as well as the Screenplay Equity Terms

❖  The Starter chooses Custom Contribution Rules & sets Development Timelines

The ways contributions are accepted and the timelines for each phase of the screenplay process are customizable in a Private Open Screenplay.

The options available are:

1)    By Vote Count After Timeline Expiration – When the timeline of each phase of your Open Screenplay runs out, Contributions with the highest Vote Count become voted Contributions.

NOTE: Contributors can submit a Motion to Extend Timeline for any of these phases by a 1-day extension. The Starter must accept it for the motion to pass.

2)    By Vote Count and Minimum Number of Votes – In order for a Contribution to become a Voted Contribution, it must receive the highest number of votes and it must receive a minimum number of votes set by the Starter.

3)    By Starter Acceptance Only – Only the Starter of the Private Open Screenplay can choose which Contributions become Voted Contributions.

4)    By Vote Count After Timeline Expiration and Starter Acceptance – When the timeline of each phase of an Open Screenplay runs out, the Starter gets final approval on the Voted Contributions with the highest number of votes.

 ❖  Different License Agreement

Since Private Open Screenplays have Custom Contribution Rules, the License Agreement executed by its Start and Contributors will be different than the standard Open Screenplay License Agreement as we will not be involved in helping market a Private Open Screenplays. The Starter will have the following the following options:

Option A - Starter Sole and Exclusive License - Starter is granted sole and exclusive license to negotiation any deal for the Private Open Screenplay.

Option B -  Voted Ratification – Starter and Voted Contributors vote to approve any potential deal. Voting will be weighted proportionally based on Voted Contribution percentage.

❖  Open Screenplay Inc.’s Service fee is less

Since we are providing a kick-ass service it’s only fair that we’re compensated somehow. We don’t ask you to pay anything upfront to use our site (we’re cool like that), but in exchange for using our collaboration tools Open Screenplay Inc. shall be granted 5% of any future monetization (in addition to royalties, merchandizing etc.) of a Private Open Screenplay.

❖  Allows for customization of the Screenplay Equity Terms

If you’re unsure whether your screenplay should be Public or Private then you should choose Public Open Screenplay.  Private Open Screenplays are the best choice for Starters who have a specific idea of what they want to happen during the development of their screenplay.
